Josh maintains a robust corporate practice focusing on corporate formation, private debt and equity financing, business transactions (including joint ventures, mergers, acquisitions and divestitures) and outsourced general counsel services for entrepreneurs, startups, small businesses and middle market companies. Additionally, Josh represents private lenders in commercial and real estate finance transactions.
Many of Josh’s corporate clients are in highly regulated industries such as casino gaming, healthcare and cannabis, but his client list spans the gamut from family offices, REITs, and technology companies, to restauranteurs, service professionals and angel investors.
Earlier on in his legal career, Josh cut his teeth at one of Miami’s oldest and finest civil trial firms, and his extensive experience in complex business disputes gives him unique perspective and insight when counseling clients on their corporate matters. Alongside the firm’s dedicated trial lawyers, Josh regularly assists with our clients’ business litigation matters in both state and federal courts.
Josh received a bachelor’s degree in finance from the University of Miami, and a master’s degree in real estate finance, as well as a law degree, from the University of Florida.

- Representing the seller in the sale of a multi-office dermatology practice to a private-equity-backed multi-regional dermatology group;
- Representing a cannabis REIT in over $100 million of loan origination and sale transactions;
- Representing multiple sellers in over $150 million of cannabis-related asset acquisitions and divestitures;
- Representing a well-known restauranteur in the sale of his flagship restaurant and related intellectual property to a publicly-traded corporation;
- Representing multiple small business owners such as laundromats, accounting firms and a quick-service food retailer in connection with the purchase and/or sale of their businesses;
- Representing a sponsor in connection with the formation of multiple technology-focused venture capital and pooled investment funds; and
- Serving as outside general counsel to a vertically-integrated Florida medical marijuana treatment facility, a safety and security technology company serving public and private organizations nationally, and a South Florida-based family office in multiple venture capital investments.
